Jina's Gym, Inc. Organiztional Meeting February 27, 2008

The meeting convened at 7:15 PM at the home of Stuart and Lisa Branch, 18 Bloomfield Park in Lamoine

Present were: Stuart Branch, Heather Fowler, Amy Duym, John Walls, Penelope Walls, Robert Pulver, Connie Wallace, Enid Neleski, Bill Neleski, Brett Jones , Patti Haslam, Stu Marckoon and Jim Willis

Attendees briefly introduced themselves. There was a lengthy discussion about whether to form a non-profit corporation to take over the management of the Jina's Gym Fund currently held by the Lamoine School Department. It was moved and 2 nd to do so and a unanimous vote in favor approved the motion.

Selection of Directors – By consent of the board, the following officers were selected:

• Chairman – John Walls
• Treasurer – Heather Fowler
• Secretary – Enid Neleski
• Directors - Patti Haslam
• Stuart Branch
• Brett Jones
• Jim Willis
• Bob Pulver
• Bill Neleski

Procedures - Stu Marckoon said he would type up the minutes of this meeting, but subsequent meetings would become the responsibility of the secretary. He also offered suggestions on the proper way to become a non-profit corporation, including obtaining a federal tax ID #, filing the corporate name with the Secretary of State, and approving by-laws.

Tax Exempt Status - Stuart Branch urged the group to seek legal counsel to help with filing for 501 (c)(3) status with the IRS. Several members suggested attorneys who might help.

Next Meeting Date - The Board set the next meeting date as March 26, 2008 at 7:15 at the Branch residence.

There being no further business, the meeting adjourned at approximately 9:00 PM
